SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into and made effective as of May 14, 2025 (“Effective Date”), by and between:
Aerogrid Systems Inc., a Delaware corporation, with its principal place of business located at 360 Vector Lane, Newport, NY 11234 (“Provider”),
and
Cresinex Technologies LLC, a Delaware limited liability company, having its registered office at 842 Market Street, Palo Alto, CA 94301 (“Client”).
PURPOSE
The purpose of this Agreement is to define the terms and conditions under which Provider will deliver software services, support, and maintenance to Client.
SCOPE OF SERVICES
Provider agrees to provide the following services to Client in accordance with the terms of this Agreement:

All invoices shall be paid within thirty (30) days of receipt. Late payments are subject to a 1.5% monthly interest rate.
This Agreement shall remain in effect for a term of twenty-four (24) months from the Effective Date unless terminated earlier as provided herein. The Agreement will automatically renew for successive one-year terms unless either party provides sixty (60) days’ prior written notice of its intent not to renew.
Each party agrees to maintain the confidentiality of all non-public business, technical, and financial information provided under this Agreement, and not to disclose such information to any third party without prior written consent.
All intellectual property developed by Provider in connection with the services shall remain the exclusive property of Provider. Client receives a non-transferable, non-exclusive license to use the deliverables as defined in Appendix A.
IN WITNESS WHEREOF, the parties hereto have executed this Service Agreement as of the Effective Date.
