本服务协议(以下简称“协议”)由以下双方签署并生效:
服务提供商:“星辉科技有限公司”,一家依照加利福尼亚州法律注册的公司,注册地址为美国加利福尼亚州洛杉矶市阳光大道742号(以下简称“服务提供商”)。
客户:“未来创新公司”,一家依照中华人民共和国法律注册的公司,注册地址为中国上海市南京西路983号(以下简称“客户”)。
生效日期:本协议自双方授权代表签署之日起生效。
1. 服务内容及范围
1.1 服务提供
服务提供商同意根据附件A提供的详细服务清单,为客户提供以下服务:
若服务提供商未能在上述时间表内完成工作,需提前通知客户并提供合理的延期理由,经客户书面同意后方可延长交付时间。
客户应按照以下支付计划向服务提供商付款:
所有款项应通过银行转账支付至以下账户:
若客户未能按照约定时间支付款项,将对逾期金额按照每日0.5%的利率计算滞纳金。
双方同意在本协议期间及协议终止后五年内,严格保守对方的保密信息。保密信息包括但不限于技术、商业计划、客户数据、财务信息和市场策略。
保密义务不适用于以下信息:
服务提供商在提供服务过程中所开发的所有软件、技术文档、系统集成成果及其他工作成果,均归服务提供商所有。客户仅获得有限的、非独占的、不可转让的许可权,用于客户内部使用。
客户保证其提供的所有数据合法,并授权服务提供商在履行本协议时使用这些数据。服务提供商仅限于为执行本协议的目的使用这些数据。
本协议自双方签署之日起生效,至项目完成并且尾款支付完毕后终止。
任何一方可提前30天书面通知对方终止本协议,且无需说明理由。
若双方未书面通知终止,且在协议结束前30天未提出异议,本协议可自动续约12个月。
服务提供商应保证所提供的服务符合约定的技术规格和质量标准。若服务未达到客户要求,服务提供商应负责免费修复或重新提供服务。
客户应按时支付约定费用,并配合服务提供商完成相关工作。如果客户未能提供必要的支持和资源,导致服务延误或无法按时完成,服务提供商可根据实际情况调整交付时间或收取额外费用。
客户应按法定规定支付本协议项下的所有税费,包括但不限于增值税、营业税、印花税等。
如双方在履行本协议过程中发生争议,应首先通过友好协商解决。协商不成的,可提交洛杉矶市法院处理。
本协议适用美国加利福尼亚州的法律,任何与本协议有关的争议应提交洛杉矶市法院的管辖。
不可抗力事件是指一方因自然灾害、战争、恐怖袭击、政府禁令、网络攻击等不可预见、不可避免且无法克服的事件导致无法履行合同的情况。
发生不可抗力事件时,受影响方应及时通知另一方,并采取合理措施减轻损害。如果不可抗力事件持续超过30天,任何一方可终止协议。

Service Agreement
This Service Agreement (hereinafter referred to as the "Agreement") is signed and effective between the following parties:
Service Provider: "Starlight Technology Ltd.", a company registered under the laws of California, USA, with its registered address at 742 Sunshine Avenue, Los Angeles, California, USA (hereinafter referred to as the "Service Provider").
Client: "Future Innovation Corp.", a company registered under the laws of the People's Republic of China, with its registered address at 983 Nanjing West Road, Shanghai, China (hereinafter referred to as the "Client").
Effective Date: This Agreement shall be effective from the date signed by both authorized representatives.
1. Services and Scope
1.1 Services Provided
The Service Provider agrees to provide the following services to the Client as outlined in Exhibit A:
If the Service Provider fails to meet the above timeline, they must notify the Client in advance and provide reasonable grounds for the delay. The delay can only be extended with the written consent of the Client.
The Client agrees to pay the Service Provider according to the following payment schedule:
All payments should be made via bank transfer to the following account:
If the Client fails to make payments on time, a late fee of 0.5% per day will be applied to the overdue amount.
Both parties agree to keep each other’s confidential information confidential during the term of this Agreement and for five years after its termination. Confidential information includes but is not limited to technology, business plans, customer data, financial information, and market strategies.
The confidentiality obligations do not apply to the following information:
All software, technical documents, system integration results, and other work products developed by the Service Provider during the course of providing services will remain the property of the Service Provider. The Client is granted a limited, non-exclusive, non-transferable license to use these services for internal purposes only.
The Client guarantees that all data provided is legal and grants the Service Provider permission to use this data in the performance of this Agreement. The Service Provider is only authorized to use this data for the purpose of fulfilling the Agreement.
This Agreement will be effective from the date of signature by both parties and will terminate upon completion of the project and full payment of the final balance.
Either party may terminate this Agreement with 30 days written notice to the other party, without providing any reasons.
If neither party has provided written notice of termination, and no objections are raised 30 days prior to the end of the Agreement, this Agreement may automatically renew for an additional 12 months.
The Service Provider guarantees that the services provided will meet the agreed technical specifications and quality standards. If the services fail to meet the Client's expectations, the Service Provider will fix or re-provide the services at no additional cost.
The Client agrees to pay the agreed fees on time and cooperate with the Service Provider in completing the services. If the Client fails to provide the necessary support or resources, resulting in delays or inability to complete the services on time, the Service Provider may adjust the delivery schedule or charge additional fees.
The Client is responsible for all taxes under applicable law related to this Agreement, including but not limited to VAT, business tax, stamp duty, etc.
In the event of a dispute arising during the performance of this Agreement, the parties shall first attempt to resolve the matter through friendly negotiations. If negotiations fail, the dispute may be submitted to the Los Angeles court for resolution.
This Agreement is governed by the laws of California, USA, and any disputes arising from this Agreement shall be subject to the jurisdiction of the Los Angeles court.
Force majeure refers to events that are unforeseeable, unavoidable, and cannot be overcome, such as natural disasters, war, terrorism, government orders, cyber-attacks, etc., that prevent one party from fulfilling its contractual obligations.
If a force majeure event occurs, the affected party must promptly notify the other party and take reasonable measures to mitigate damages. If the force majeure event lasts for more than 30 days, either party may terminate the Agreement.
This Agreement constitutes the complete and final agreement between the parties regarding the subject matter of this Agreement, superseding all prior verbal or written agreements.
Any amendments or supplements to this Agreement must be in writing and signed by both parties.
If any clause of this Agreement is deemed invalid or unenforceable, it does not affect the validity of the remaining clauses.
The Client may not transfer any rights or obligations under this Agreement without the Service Provider’s written consent.
