2. 付款条款

3. 保密性条款

3.1 保密义务

3.2 信息披露例外

保密义务不适用于以下信息:

  • 信息已公开或成为公共领域的一部分;
  • 一方已经合法知悉或从第三方获取该信息,且该第三方未违反任何保密义务;
  • 法律要求披露时,披露方应及时通知另一方,并采取合理措施保护该信息的机密性。

4. 知识产权

4.1 知识产权归属

服务提供商在提供服务过程中所开发的所有软件、技术文档、系统集成成果及其他工作成果,均归服务提供商所有。客户仅获得有限的、非独占的、不可转让的许可权,用于客户内部使用。

4.2 客户数据的使用权

客户保证其提供的所有数据合法,并授权服务提供商在履行本协议时使用这些数据。服务提供商仅限于为执行本协议的目的使用这些数据。


5. 合同期限与终止

5.1 协议有效期

本协议自双方签署之日起生效,至项目完成并且尾款支付完毕后终止。

5.2 提前终止

任何一方可提前30天书面通知对方终止本协议,且无需说明理由。

  • 若服务提供商违约,客户有权立即终止协议,且要求赔偿由此产生的所有损失。
  • 若客户违约,服务提供商可终止协议,并要求客户支付已完成部分的服务费用。

5.3 自动续约条款

若双方未书面通知终止,且在协议结束前30天未提出异议,本协议可自动续约12个月。


6. 责任与赔偿

6.1 服务提供商的责任

服务提供商应保证所提供的服务符合约定的技术规格和质量标准。若服务未达到客户要求,服务提供商应负责免费修复或重新提供服务。

6.2 客户的责任

客户应按时支付约定费用,并配合服务提供商完成相关工作。如果客户未能提供必要的支持和资源,导致服务延误或无法按时完成,服务提供商可根据实际情况调整交付时间或收取额外费用。

6.3 赔偿条款

  • 服务提供商应对由于其疏忽或故意行为造成的直接损失负责。
  • 客户应对其使用服务时引发的任何索赔或争议负责,并向服务提供商提供赔偿。

7. 税务条款

7.1 税费承担

客户应按法定规定支付本协议项下的所有税费,包括但不限于增值税、营业税、印花税等。


8. 争议解决

8.1 争议解决方式

如双方在履行本协议过程中发生争议,应首先通过友好协商解决。协商不成的,可提交洛杉矶市法院处理。

8.2 管辖法院

本协议适用美国加利福尼亚州的法律,任何与本协议有关的争议应提交洛杉矶市法院的管辖。


9. 不可抗力

9.1 不可抗力定义

不可抗力事件是指一方因自然灾害、战争、恐怖袭击、政府禁令、网络攻击等不可预见、不可避免且无法克服的事件导致无法履行合同的情况。

9.2 不可抗力事件处理

发生不可抗力事件时,受影响方应及时通知另一方,并采取合理措施减轻损害。如果不可抗力事件持续超过30天,任何一方可终止协议。


10. 其他条款

10.1 本协议构成双方之间关于本协议标的事项的完整协议,替代任何之前的口头或书面协议。

10.2 本协议的任何修改、补充应以书面形式经双方签署。

10.3 本协议的任何条款若被判定为无效或不可执行,不影响其他条款的有效性。

10.4 客户不得转让本协议的任何权利或义务,除非获得服务提供商的书面同意。

2. Payment Terms

2.1 Payment Schedule

The Client agrees to pay the Service Provider according to the following payment schedule:

  • First Payment: 30% of the total amount, i.e., $30,000, upon project initiation, within 5 business days of signing the Agreement.
  • Second Payment: 40% of the total amount, i.e., $40,000, upon completion of software development, by March 31, 2025.
  • Third Payment: 20% of the total amount, i.e., $20,000, upon completion of system integration and testing, by May 15, 2025.
  • Final Payment: 10% of the total amount, i.e., $10,000, upon project delivery and completion, by June 15, 2025.

3. Confidentiality Terms

3.2 Exceptions to Disclosure

The confidentiality obligations do not apply to the following information:

  • Information that is publicly known or becomes part of the public domain;
  • Information that one party lawfully knew or obtained from a third party, and the third party did not breach any confidentiality obligations;
  • Information required to be disclosed by law, provided the disclosing party promptly notifies the other party and takes reasonable measures to protect the confidentiality of such information.

4. Intellectual Property

4.1 Ownership of Intellectual Property

All software, technical documents, system integration results, and other work products developed by the Service Provider during the course of providing services will remain the property of the Service Provider. The Client is granted a limited, non-exclusive, non-transferable license to use these services for internal purposes only.

4.2 Use of Client Data

The Client guarantees that all data provided is legal and grants the Service Provider permission to use this data in the performance of this Agreement. The Service Provider is only authorized to use this data for the purpose of fulfilling the Agreement.


5. Contract Duration and Termination

5.1 Effective Period

This Agreement will be effective from the date of signature by both parties and will terminate upon completion of the project and full payment of the final balance.

5.2 Early Termination

Either party may terminate this Agreement with 30 days written notice to the other party, without providing any reasons.

  • If the Service Provider breaches the Agreement, the Client has the right to terminate immediately and claim compensation for any resulting damages.
  • If the Client breaches the Agreement, the Service Provider may terminate and require payment for any completed portions of the services.

5.3 Automatic Renewal

If neither party has provided written notice of termination, and no objections are raised 30 days prior to the end of the Agreement, this Agreement may automatically renew for an additional 12 months.

The Service Provider guarantees that the services provided will meet the agreed technical specifications and quality standards. If the services fail to meet the Client's expectations, the Service Provider will fix or re-provide the services at no additional cost.

The Client agrees to pay the agreed fees on time and cooperate with the Service Provider in completing the services. If the Client fails to provide the necessary support or resources, resulting in delays or inability to complete the services on time, the Service Provider may adjust the delivery schedule or charge additional fees.

6.3 Indemnity Clause

  • The Service Provider is responsible for direct damages caused by negligence or willful actions.
  • The Client is responsible for any claims or disputes arising from their use of the services and will indemnify the Service Provider.

7. Taxation

7.1 Tax Liability

The Client is responsible for all taxes under applicable law related to this Agreement, including but not limited to VAT, business tax, stamp duty, etc.


8. Dispute Resolution

8.1 Dispute Resolution Method

In the event of a dispute arising during the performance of this Agreement, the parties shall first attempt to resolve the matter through friendly negotiations. If negotiations fail, the dispute may be submitted to the Los Angeles court for resolution.

9. Force Majeure

9.1 Definition of Force Majeure

Force majeure refers to events that are unforeseeable, unavoidable, and cannot be overcome, such as natural disasters, war, terrorism, government orders, cyber-attacks, etc., that prevent one party from fulfilling its contractual obligations.

9.2 Handling of Force Majeure Events

If a force majeure event occurs, the affected party must promptly notify the other party and take reasonable measures to mitigate damages. If the force majeure event lasts for more than 30 days, either party may terminate the Agreement.


10. Miscellaneous Terms

10.1 Entire Agreement

This Agreement constitutes the complete and final agreement between the parties regarding the subject matter of this Agreement, superseding all prior verbal or written agreements.

10.2 Amendments

Any amendments or supplements to this Agreement must be in writing and signed by both parties.

10.3 Invalidity of Clauses

If any clause of this Agreement is deemed invalid or unenforceable, it does not affect the validity of the remaining clauses.

10.4 Transfer of Rights

The Client may not transfer any rights or obligations under this Agreement without the Service Provider’s written consent.
