1. Scope of Work

1.1 Project Overview

The purpose of this contract is to define the obligations and terms associated with the development of the Enterprise AI Platform for Acme Corporation. The contracted party, hereafter referred to as "Service Provider," agrees to design, develop, and deliver an AI platform capable of automating key business operations, integrating data analysis tools, and enhancing decision-making processes across departments.

1.2 Responsibilities of Service Provider

The Service Provider will be responsible for:

  • Conducting an initial assessment of Acme Corporation’s operational needs.
  • Designing an AI-driven platform with features tailored to data management, predictive analytics, and automation of routine tasks.
  • Providing user interface (UI) design for seamless user interaction and data visualization.
  • Ensuring compliance with Acme Corporation’s security and data privacy policies.
  • Offering training sessions for key staff members to facilitate adoption and effective use of the platform.

1.3 Responsibilities of Acme Corporation

Acme Corporation agrees to:

  • Provide all necessary data and access to internal systems for the development of the platform.
  • Assign relevant personnel to collaborate with the Service Provider and provide timely feedback.
  • Comply with testing requirements during development stages and offer feedback for adjustments.

2. Terms of Payment

2.1 Payment Schedule

The total project cost of $1,200,000 will be distributed across project milestones as follows:

  • Initial Deposit (20%): $240,000, due upon signing of the contract.
  • Phase 1 Completion (30%): $360,000, due upon completion of initial platform development.
  • Phase 2 Completion (30%): $360,000, due upon platform testing and integration.
  • Final Delivery (20%): $240,000, due upon project completion and client acceptance.

2.2 Invoicing and Payment Terms

Invoices will be issued upon completion of each project milestone. Acme Corporation agrees to remit payment within 30 days of invoice receipt. Late payments will incur a penalty of 1.5% per month on the outstanding balance.


3. Project Timeline and Milestones

3.1 Milestone Breakdown

The project is expected to follow the timeline below:

3.2 Project Delays

4. Confidentiality and Non-Disclosure

4.1 Confidential Information

Both parties agree to keep confidential all proprietary information, including but not limited to business strategies, technical data, and financial information, disclosed during the term of this contract.

4.2 Non-Disclosure

Neither party shall disclose or permit the disclosure of any proprietary information to third parties without prior written consent from the other party. This obligation remains in effect for 3 years post-termination of this contract.


5. Intellectual Property Rights

5.1 Ownership of Deliverables

Upon full payment, Acme Corporation will own all deliverables produced as part of this project, including the source code, documentation, and AI models. The Service Provider retains the right to use general knowledge, experience, and skills obtained during the project in future endeavors.

5.2 Licensing

Acme Corporation grants the Service Provider a non-exclusive, royalty-free license to use the AI platform for demonstration purposes, subject to prior approval and only in ways that do not compromise Acme Corporation's confidentiality.


6. Warranties and Representations

6.1 Service Provider Warranties

The Service Provider warrants that:

  • All deliverables will conform to the specifications outlined in this contract.
  • The platform will be free from material defects for a period of 90 days following project completion.
  • All code and assets provided are original or appropriately licensed.

6.2 Disclaimer of Implied Warranties

All other warranties, express or implied, are disclaimed to the fullest extent permitted by law, including any warranties of merchantability or fitness for a particular purpose.


7. Limitation of Liability

Neither party shall be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits or data. The Service Provider’s total liability shall not exceed the amount paid by Acme Corporation for this project.


8. Indemnification

8.1 Indemnity by Service Provider

The Service Provider agrees to indemnify and hold harmless Acme Corporation from any claims, damages, or losses arising out of the Service Provider’s negligence or willful misconduct.

8.2 Indemnity by Acme Corporation

Acme Corporation agrees to indemnify and hold harmless the Service Provider from any claims, damages, or losses arising out of the use or implementation of the platform.


9. Termination Clause

9.1 Termination for Cause

Either party may terminate this contract if the other party breaches any material term and fails to remedy the breach within 30 days of receiving written notice.

9.2 Termination for Convenience

Acme Corporation may terminate this contract for convenience by providing the Service Provider with 60 days' written notice.


10. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through mediation. If mediation fails, the dispute will be resolved by binding arbitration under the rules of the American Arbitration Association.


11. Amendments and Modifications

Any amendments to this contract must be agreed upon in writing by both parties. Verbal modifications or agreements are not valid under this contract.


12. Governing Law

This contract is governed by the laws of the State of California, without regard to its conflict of laws provisions.


13. Entire Agreement

This contract represents the entire agreement between Acme Corporation and the Service Provider regarding the development of the Enterprise AI Platform and supersedes all prior agreements or understandings.
